Terms and Conditions
Scrapoli is only an online platform that connects scrap material buyers and sellers; we do not buy or sell scrap, handle payments, or manage logistics.
You, the user, are solely responsible for your listings, communications, and any transactions you conduct. You must verify the identity, license, and legal compliance of any counterparty (for example, UK law prohibits cash payments for scrap and requires dealers to check seller ID.)
Scrapoli does not screen users or scrap items on your behalf. We offer optional Premium Plans that promote your listings (e.g. priority ranking, featured spots, linking to your website), but these do not guarantee any sale or lead. By using Scrapoli, you accept these Terms. Please read them carefully; they govern your use of Scrapoli's services worldwide, and are governed by English law.
Acceptance of Terms
By registering for an account, posting a listing, or otherwise using the Scrapoli platform, you agree to be bound by these Terms and any linked policies. You must be at least 18 years old and legally capable of forming a contract.
During registration you will be asked to click an "I Agree" or similar button. This clickwrap procedure constitutes your binding agreement to these Terms.
You agree to provide true, accurate, current and complete information, and to keep that information updated. Your account password and login credentials must be kept secure; you are solely responsible for all activity on your account and must notify us immediately of any unauthorized use.
You agree not to share or transfer your account or password to anyone else.
Nature of the Service; Intermediary Role
Scrapoli is a discovery platform and marketplace for scrap materials. We simply host listings and enable communication between Buyers and Sellers. We do not buy, sell, broker, or transport any scrap materials. We are not a waste carrier or metal dealer. All transactions (if any) are negotiated and concluded directly between the parties involved.
Scrapoli has no contractual involvement in any sale or removal of scrap – once you connect with another user, any legally binding contract is solely between you and the other party. Likewise, we do not handle payments, commissions or guarantees for trades.
Because we do not verify goods or users, you must exercise your own due diligence. You should verify that any scrap dealer or collector you deal with is properly licensed and compliant. (In the UK, under the Scrap Metal Dealers Act 2013, it is illegal for scrap to be paid for in cash, and dealers must record sellers' ID.) You should also verify that any goods meet safety and export/import regulations. We do not inspect listings or check users' licenses, so we strongly encourage you to confirm permits, licenses or registrations (such as waste carrier licenses) with any potential counterparty. Scrapoli will never intervene in disputes between users – you waive any claim against us arising from a dispute with another user.
User Content and Listings
You are responsible for all content you post on Scrapoli (listings, profile information, messages, etc.). You warrant that anything you post is lawful, accurate, honest and not misleading. Your listing and messages must not infringe anyone's rights (for example, don't post copyrighted text or images you don't own). All user content must comply with applicable laws and regulations. By submitting content, you grant Scrapoli a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute and display that content in connection with the platform.
Scrapoli does not endorse or guarantee any user content. We do not promise that listings are complete, lawful or true. We may remove or disable access to any user content that violates these Terms or is illegal. We have no obligation to monitor content, but we reserve the right to review and remove any content or listings at our discretion (for example, if they involve fraud, illegality, or misuse).
Prohibited Conduct
You agree not to use Scrapoli to:
- Post or arrange anything illegal. Do not advertise or offer stolen goods, contraband, or knowingly deal in scrap that violates waste laws or import/export rules. For example, in the UK it is illegal to pay cash for scrap and dealers must verify sellers' identities; do not solicit or offer cash trades or fail to comply with the Scrap Metal Dealers Act.
- Post hazardous materials without required permits, or listings for regulated waste without proper licensing. Do not negotiate sales of harmful or toxic materials, unless fully licensed to do so.
- Defraud or attempt to defraud any user. Do not use stolen payment cards or false identities. Impersonation of other individuals or companies is forbidden.
- Post false, misleading, harassing, hateful, pornographic or defamatory content. Do not use the platform to send spam, viruses, spyware, or disruptive data.
- Infringe intellectual property. Do not post content that violates copyrights, trademarks, or privacy rights of others.
- Interfere with our service or other users. No hacking, scraping, reverse-engineering, using bots, or any action that disrupts Scrapoli's operation. No "reverse engineering" of the site's software or attempting to overload our system.
- Circumvent these terms. Do not create multiple accounts or use our service for unintended purposes. You may not allow another user to create an account in your name, and you must not share account credentials.
We may investigate and report any suspected illegal or fraudulent activity to law enforcement. Violation of any part of these Terms is grounds for immediate termination of your account and removal of content.
Premium Services (Subscription Plans)
Scrapoli offers optional Premium and Enterprise subscription plans that give users special features (such as promoted or featured listings, including links to your own website, and improved search ranking). These features are provided only as advertising or promotional tools. We do not guarantee that purchasing a Premium plan will result in any sale or lead. The Premium subscription fee is solely for providing these platform services – it is not a fee for brokering transactions or guaranteeing results. Scrapoli's Premium fees are non-refundable payments for enhanced listing exposure.
When you purchase a Premium plan, you agree to pay the stated subscription fees (plus any applicable taxes). If you sign up for a free trial, it will automatically convert into a paid subscription when the trial ends, unless you cancel before that time. You must cancel through your account settings to avoid further billing. All fees are charged in advance (monthly, yearly or as specified) and are non-refundable, except as required by law. We may change our fees or available plans at any time (with notice to you), but we will not increase your subscription fee during a prepaid term without your consent.
Payments and Billing
All payments for Premium plans must be made using a valid payment method you provide. You authorize Scrapoli (and any third-party payment processor we use) to charge your payment method for the applicable fees, including any renewal charges. If a payment fails (expired card, insufficient funds), we may suspend or terminate your subscription. We do not store your full payment details; we rely on secure third-party processors. Except as expressly stated, any paid service or feature is offered "as is" and fees are not refundable. We do not act as an escrow or guarantees intermediary for payments in transactions between users.
Compliance with Laws
You agree to comply with all applicable laws and regulations in using Scrapoli. This includes local, national and international laws governing commerce, waste disposal, export controls, data protection, consumer rights and financial transactions. (For instance, if you use Scrapoli to dispose of or purchase scrap, you must follow environmental and safety regulations like the UK Environmental Protection Act 1990, the Basel Convention, or other applicable rules.)
Consumer protection laws: If you use Scrapoli as a consumer (not as a business), the UK Consumer Rights Act 2015 (CRA 2015) and related laws give you certain non-waivable rights. For example, CRA 2015 implies statutory terms into consumer contracts for goods and services (such as that goods be of satisfactory quality and as described). It also bans unfair contract terms. Likewise, the Unfair Contract Terms Act 1977 (UCTA) limits the enforceability of exclusion clauses in consumer contracts. In particular, no contract term may exclude our liability for death or personal injury caused by our negligence, or (under UCTA) for fraud or our own gross negligence; such exclusions would be void. Nothing in these Terms is intended to exclude or limit the protection of mandatory provisions of consumer law. Instead, we will apply such laws to the extent required.
Trading and Export Controls: If you list goods internationally, you are responsible for complying with all export, import and customs laws. Scrapoli does not monitor or prevent listings of controlled materials, so you must ensure legality yourself.
Other regulations: You are solely responsible for following any trade or safety laws that apply to scrap materials (such as obtaining licenses, permits, waste transfer documentation, etc.). If you use Scrapoli from outside the UK, you must also obey local laws of your jurisdiction. Scrapoli reserves the right to block listings or accounts that clearly violate law or regulation.
Intellectual Property
Scrapoli and Scrapoli Ltd ownership: All content on the Scrapoli website and apps – including design, text, graphics, interfaces, logos, trademarks and software – is the property of Scrapoli Ltd or its licensors. These are protected by intellectual property laws. You may not copy, distribute, adapt or use any of our content without our express written permission. Scrapoli retains all rights in its platform and marks.
User Content: You retain ownership of the content you post (listings, photos, messages). By posting it to Scrapoli, you grant us a worldwide license to use, reproduce and display it on the platform. If we receive a valid claim that your content infringes someone's IP rights, we may remove it. We may also terminate accounts of repeat infringers.
Disclaimers and Warranties
No warranty: The Scrapoli platform and all content are provided on an "as is" and "as available" basis. Scrapoli makes no representations or warranties of any kind, whether express, implied or statutory, about the accuracy, reliability, fitness for a particular purpose, or completeness of any content or service. We do not warrant that the platform will meet your requirements or that it will be uninterrupted, error-free, or virus-free. Scrapoli does not guarantee the accuracy or quality of any listings or user communications. You use the site at your own risk.
Limitation of Service: We may change, suspend or discontinue any aspect of the platform at any time, with or without notice. We do not guarantee continuous, uninterrupted service. We also do not guarantee any particular results from using premium features or listings. You agree that Scrapoli is not liable for any delays, failures, or outages caused by events beyond our control (such as internet failures, natural disasters, strikes, or actions of third parties).
Limitation of Liability
To the maximum extent permitted by law, Scrapoli's liability to you for any loss or damage arising out of or in connection with these Terms or your use of the platform is strictly limited as follows:
Disclaimer of indirect damages: Scrapoli (and its officers, directors, employees, agents and affiliates) shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, or loss of goodwill, even if we have been advised of the possibility of such damages.
Direct damages cap: Where liability is not excluded by law, our total liability to you shall not exceed the amount of fees you have paid to Scrapoli in the 12 months preceding any claim. If you have not paid any fees (for example, if you only use the free service), then Scrapoli's total liability will not exceed £100 or the minimum liability under applicable law.
No liability for third-party acts: Scrapoli is not responsible for any acts or omissions of other users. In particular, we are not liable for the quality, safety or legality of any goods or services offered by users. We do not handle payments or escrow; any transaction or agreement you enter into is at your own risk.
Note: Despite any language in these Terms, nothing shall exclude or limit Scrapoli's liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, as required by UK law. In other words, we comply with the Unfair Contract Terms Act 1977 and Consumer Rights Act 2015 which forbid excluding such liability.
Indemnification
You agree to indemnify, defend and hold harmless Scrapoli Ltd and its officers, directors, employees, agents and affiliates from any claims, liabilities, damages, losses or expenses (including legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the platform; (c) your violation of any law or rights of a third party; or (d) your dealings with other users. You waive any claim against Scrapoli arising from your transactions with other users, and agree to indemnify us for any third-party claim related to those transactions.
Termination
Scrapoli may terminate or suspend your account and access to the service immediately if you breach any part of these Terms or engage in fraudulent or illegal conduct. We may also remove or block any content or listing that violates the rules or appears unlawful, without liability. If your account is terminated, you must stop using the site and delete all Scrapoli content from your devices. Termination does not affect any rights or obligations that arose prior to termination (for example, payment obligations, indemnity, and IP rights will survive).
If we do provide you with notice of termination or suspension, we will do so via your account email or by posting on the site.
Changes to the Terms
We may revise these Terms at any time. When we do, we will post the updated Terms on our website with a new effective date. Your continued use of Scrapoli after any changes indicates your acceptance of the new Terms. We encourage you to review the Terms each time you use the service. Any material changes will be highlighted and notified to you (for example, by a banner or email).
Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of these Terms, unless a different jurisdiction is mandated by law where you live. (If you are a consumer in the UK or EU, you may also have a right to bring proceedings in your local courts under certain statutes, but in any case English law will apply.) Any claim by either party must be brought within one year of the event giving rise to the claim, otherwise the claim is waived.
Intellectual Property Rights
All rights in Scrapoli's platform (including software, text, graphics, logos, trade names and trademarks) are owned by Scrapoli Ltd or its licensors. You may not use any of our proprietary content for any purpose without our written consent. In particular, you may not remove any copyright notices or use our logos in advertising or on other websites. Scrapoli (and any licensors) retain all rights not expressly granted in these Terms.
Miscellaneous
Entire Agreement: These Terms (together with any documents expressly referred to herein) constitute the entire agreement between you and Scrapoli regarding the subject matter, and supersede all prior agreements. No representations apart from those in these Terms will have any effect.
Severability: If any provision of these Terms is held invalid or unenforceable, the remainder will continue in full force and effect.
Waiver: No delay or failure by us to exercise any right or remedy will waive that right. Any waiver must be in writing.
Assignment: You may not assign or transfer your rights or obligations under these Terms. We may assign our rights (for example, to a purchaser of our business).
Notices: We may contact you by email or notification through the platform. All notices to Scrapoli should be sent to support@scrapoli.com.
Force Majeure: Scrapoli will not be liable for any failure to perform (or delay) due to events beyond its reasonable control (such as natural disasters, strikes, or internet outages).
No Agency or Partnership: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Scrapoli.
Legal Compliance: You agree not to use this site in violation of any UK or international law. Fraudulent or malicious use of the platform is a crime. Scrapoli reserves all rights to report illegal conduct to authorities.
Clickwrap Agreement: By creating an account or using this site, you affirmatively agree to these Terms (for example, by clicking "I Accept"). This clickwrap method (requiring you to click to agree) is legally binding, and ensures you have notice of the terms before using Scrapoli.
